1. What Iloomify is

Iloomify is a platform that connects fans with creators who host live review/reaction streams on third-party platforms such as TikTok, Instagram and YouTube. A creator publishes a public page at iloomify.io/<handle>where fans can submit a track (a link, title and optional message) to that creator's queue. Creators set their own submission options and prices; fans may submit for free where offered, or pay to prioritise their submission. Creators then review or react to submissions during their live streams at their discretion.

Iloomify provides the queue, payment processing and payout tooling. We are not a party to the review itself, and we are not affiliated with, endorsed by, or operated by TikTok, Instagram, YouTube or any other platform.

2. Eligibility & accounts

• You must be at least 18 years old to create a creator account (because it involves payouts), and at least 16, or the age of digital consent in your country, to use the Service as a fan. By using the Service you confirm you meet these requirements.
• You must provide accurate information and keep it up to date.
• You are responsible for activity under your account and for keeping your credentials secure. Tell us immediately if you suspect unauthorised use.
• Some features (such as submitting a track) may be available without an account. Even then, these Terms apply to your use.

3. Roles: fans and creators

A fan submits tracks and may pay for priority. A creator claims a handle, sets prices and tiers, and reviews submissions. The same person may be both. Creators are independent of Iloomify; we do not employ creators and do not control whether, when or how a creator goes live or reacts to any submission.

4. Submissions & content

• You retain ownership of the content you submit (links, titles, messages, images, audio or video).
• You grant Iloomify and the receiving creator a worldwide, non-exclusive, royalty-free licence to host, display and process your submission for the purpose of operating the Service (including showing it in the creator's queue and to the creator during their stream).
• You warrant that you own or have the necessary rights to the content you submit and that it does not infringe anyone's rights or any law.
• You must not submit content that is illegal, hateful, harassing, sexually explicit involving minors, defamatory, deceptive, malware-bearing, or that violates a third party's intellectual property or privacy.
• We may remove any submission, and refuse, reorder or refund any submission, at our or the creator's reasonable discretion.

5. Prices, payments & what a paid submission gets you

• Creators set their own prices and tiers (for example a free option, "skip the queue", or an "instant reaction"). Prices are shown before you pay.
• The minimum price for a paid submission tier is EUR 4.00. Creators may offer free submissions, but may not set a paid tier below EUR 4.00.
• Payments are processed through Stripe Connect. By paying, you authorise the charge and agree to Stripe's terms. We do not store your full card details.
• Iloomify automatically retains a commission of 25% of each paid submission (as a Stripe application fee). The remaining 75% is transferred directly to the creator's own connected Stripe accountas part of the same transaction. Stripe's own processing fees apply. Amounts are charged in euros (EUR) unless stated otherwise.
• Iloomify does not hold, custody or control your funds. We are not a bank or payment institution; all payments and payouts are handled by Stripe, and we only ever receive our commission.
• A paid submission buys your track a place or priority in the queue according to the tier you chose. It is not a guarantee that the creator will go live, reach your track, or react to it in any particular way or timeframe. Reaction order is driven by price and arrival time, but the creator retains editorial discretion.

6. Refunds and your right of withdrawal

A paid submission pays for a creator's personal reaction and feedback to your track during their live stream. This is a service that is performed and consumed at the moment the creator reacts to your submission.

• Once the creator has reacted to or reviewed your submission, the service has been fully performed and the payment is non-refundable. Feedback, once given, cannot be returned, and it is not a separate digital product that we deliver.
• By submitting a paid track you expressly request that the service begins as soon as your submission reaches the front of the queue, and you acknowledge that you lose any statutory 14-day right of withdrawal once the service has been fully performed (Directive 2011/83/EU Article 16(a), as implemented in your country).
• You may be entitled to a refund only where the service is not delivered, for example where the creator does not go live or does not reach your submission within a reasonable period, or where a payment was clearly made in error. Such refunds are at Iloomify's or the creator's reasonable discretion and are returned to your original payment method via Stripe, reversing the creator's share as well.
• Nothing here removes mandatory consumer rights you have under the law of your country of residence.

7. Creators: payouts & taxes

• Creator earnings go directly to the creator's own Stripe account via Stripe Connect. To receive them you must complete Stripe onboarding and accept the Stripe Connected Account Agreement.
• On each paid submission Stripe transfers the creator's 75% share to their connected account automatically; Iloomify never holds that money and is not responsible for the payout itself. Payouts from the connected account to the creator's bank are made by Stripe according to the creator's Stripe settings and timing.
• Creators are solely responsible for declaring and paying any taxes (including VAT/income tax) on their earnings and for complying with the rules of any third-party platform on which they stream.
• You must not use the Service to launder money, circumvent fees, or process payments unrelated to a genuine submission.

8. Data protection and your role as a creator

When you act as a creator, you are an independent data controller for the personal data of your fans that you collect and use through Iloomify, including their submissions, handles or display names, messages and your reactions or feedback. For that data Iloomify acts as your processor and will process it only to provide the Service and on your documented instructions. This section, together with our Privacy Policy, forms a data processing agreement between you and Iloomify under Article 28 of the GDPR: we will keep the data confidential, apply appropriate technical and organisational security, engage sub-processors (such as Stripe for payments and our hosting provider) under equivalent obligations, assist you within reason with data-subject requests and personal-data-breach notifications, and delete or return the data when our agreement with you ends, except where the law requires us to keep it. As a creator you are responsible for having a lawful basis to process your fans' data and for meeting your own privacy obligations to them. Iloomify remains the controller for the account, security and platform-operation data described in the Privacy Policy, and is not the primary party responsible for how creators use their fans' data.

9. Acceptable use

You agree not to:

• harass, threaten, defraud or impersonate anyone;
• upload illegal, infringing or harmful content;
• attempt to bypass payments, fees, bans or security measures;
• scrape, overload, reverse-engineer or disrupt the Service;
• use the Service for spam or to promote unlawful goods or services.

10. Moderation, suspension & termination

We may remove content, withhold or reverse payments, and suspend or terminate accounts that breach these Terms, are fraudulent, or create risk for users or for Iloomify. You may stop using the Service and request deletion of your account at any time (see the Privacy Policy).

11. Intellectual property

Iloomify, its name, logo, software and design are owned by us or our licensors. We grant you a limited, revocable, non-transferable licence to use the Service for its intended purpose. You keep the rights to your own content, subject to the licence in section 4.

12. Third-party services

The Service relies on third parties including Stripe (payments) and our hosting provider, and links out to platforms such as TikTok, Instagram and YouTube. Your use of those services is governed by their own terms, and we are not responsible for them.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not guarantee any particular result, reaction, audience, level of earnings, or uninterrupted availability.

14. Limitation of liability

To the fullest extent permitted by law, Iloomify will not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of (a) the total fees we retained from you in the 3 months before the event giving rise to the claim, or (b) EUR 100. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud or death/personal injury caused by negligence).

15. Indemnity

You agree to indemnify Iloomify against claims, losses and costs arising from your content, your use of the Service, or your breach of these Terms or of any third party's rights.

16. Changes

We may update the Service and these Terms. If we make material changes we will take reasonable steps to notify you (for example by posting the updated Terms with a new "last updated" date). Continued use after changes take effect means you accept them.

17. Governing law & disputes

These Terms are governed by the laws of [the Netherlands], and disputes will be subject to the exclusive jurisdiction of the competent court in [Amsterdam, the Netherlands], without prejudice to any mandatory consumer-protection rights in your country of residence.
